Solp Terms of Use

Thank you for choosing Solp, a platform developed and operated by Viktar Pylinski and Vitali Pylinski (referred to as "we", "us", "our"). These Terms of Use ("Terms") govern your use of the Solp website https://solp.me (referred to as the "Website") and mobile applications (referred to as the "Applications"). The Website and Applications together are hereinafter collectively referred to as the "Services".

By accessing or using the Services, you, whether registered or not, agree to these Terms. If you do not agree to these Terms, please do not access or use the Services.

Definitions

Business or service provider - person or entity, that provides services and uses Solp platform to run their service business.

Client or customer - user that has an account in Solp platform, that books services or have appointments with a service provider.

User profile - collection of settings and information associated with the user. It contains information that is used to identify an individual, such as their name, photograph and other.

Business profile - collection of settings and information associated with the Business. It contains information that is used to identify Business, such as business name, logo, address, description and other.

OTP-code - a one-time password that is automatically generated to authenticate a user for a single transaction or login session.

How Solp works

Solp is a platform for searching and booking services online. Solp helps you find services that meet your criteria. If you provide own services, you can easily create and manage your Business in Solp, make it searchable, and attract new clients. Solp is an all-in-one solution that connects Businesses and Clients, facilitates communication, automates processes.

We are not a party, arranger, employer, intermediary, agent, tax agent, representative of users, beneficiary or other interested party in relation to transactions between users. Users use the information placed in Solp to enter into transactions at their own risk without the direct or indirect involvement or control from our side.

If you're not registered in Solp you are still able to use search and map to find services or businesses that you're interested in. You need to register an account and log in to proceed booking services, to start a chat with the Business, to leave a review about the Business or its services, to start the support chat.

You can register an account in Solp using your mobile phone number. We will create your user profile after registration. You can only have one Solp account linked to one phone number at a time. You have the right to delete your account at any time from account settings. You can log in to your account in Solp using your mobile phone number and OTP-code. You have ability to log in using your email address if you add it to your account in settings. Also, email is used to reset your password and restore access to your account in case you have enabled Two-Step Verification in Solp security settings.

• User Profile: Once you're logged in you already have user profile, which is related to the client side of the Applications. There you will conduct activities as a consumer of services. Your user is a client, who is able to search for services, book services, leave reviews, communicate with Businesses, view appointment history and reports. When you delete the account, its user profile is deleted too.
• Business Profile: If you provide your own services, whether you're a person or entity, you can create your Business in Solp. We will create your Business profile in the business side of the Applications, which is the management of your Business and services. There you will operate as a service provider: manage and distribute services, set up your schedule, manage appointments and clients, communicate with clients, view appointment history and reports. Depending on your account Plan type, you can have few Businesses and corresponding Business profiles at a time linked to your account. You have the right to delete your Business at any time from business settings. When you delete the account, all its Businesses are deleted too.

User and Business information

The information you provide about yourself or your Business must be truthful and up-to-date and must not infringe the rights of third parties. You are required to update the data on your profiles as necessary. We may request documents or information from you to verify your identity or credentials. If you do not provide them, we may restrict access to your account.

We cannot guarantee that the information users provide in the Services is accurate. It is users' own responsibility to ensure that the information they post is true.

Your use of the Services

You may not use the Services for any illegal or unauthorized purpose, or in any manner that could damage, disable, overburden, or impair our servers or networks.

You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. If you become aware of any unauthorized use of your account, you must notify us immediately.

User Content

You are solely responsible for any content that you upload, post, or otherwise make available on the Services ("User Content"). You represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to use and authorize us to use the User Content in the manner contemplated by the Services.
• The User Content does not violate any applicable laws or infringe any third-party rights, including intellectual property rights, privacy rights, or publicity rights.
• The User Content is not defamatory, obscene, or offensive.

By posting User Content on the Services, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit your User Content in connection with the operation and promotion of the Services.

We reserve the right to remove any User Content that we believe violates these Terms or our policies, or that is otherwise objectionable in our sole discretion.

Intellectual Property

The Services, including all content, features, and functionality, are owned by Viktar Pylinski and Vitali Pylinski or their licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any part of the Services without our prior written consent.

All trademarks, service marks, and logos used on the Services are our trademarks or the trademarks of our licensors. You may not use any of these trademarks without our prior written consent.

Prohibited Conduct

You may not use the Services for any unlawful purpose or in any manner that violates these Terms. Specifically, you may not:

• Use the Services to upload, post, or transmit any user content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, pornographic, sexually explicit, or otherwise objectionable.
• Use the Services to impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Use the Services to upload, post, or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation.
• Use the Services to engage in any activity that interferes with or disrupts the Services or our servers or networks.
• Attempt to access or use the Services without authorization or interfere with any other user's access to or use of the Services.
• Copy or modify the Applications, any part of the Applications, or our trademarks in any way. You’re not allowed to attempt to extract the source code of the Applications, and you also shouldn’t try to translate the Applications into other languages or make derivative versions.
• Post false, inaccurate, misleading, user content (including personal information) or use the Services for link building purposes.
• Take any action that may undermine feedback and/or ratings systems, including asking third-parties to write positive or negative Feedback..
• Post user content that is invasive of privacy, publicity, intellectual property, proprietary, or contractual rights.
• Engage in any systematic retrieval of content or information from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory, whether through the use of robots, spiders, automatic devices or manual processes.
• Solicit personal information from anyone under the age of 18.
• Post the personal information of another person without that person's permission.
• Use another User's account or modify or remove another User's User Submissions without their permission.
• Distribute viruses or any other technologies that may harm any users of the Services.
• Collect information about users without their consent.

We reserve the right to terminate your access to the Services for any violation of these Terms.

Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services are free of viruses or other harmful components.

Limitation of Liability

In no event shall Viktar Pylinski and Vitali Pylinski be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Services, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold Viktar Pylinski and Vitali Pylinski harmless from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your User Content, or your violation of these Terms.

Governing law and jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Georgia, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the courts of Georgia.

Dispute Resolution

Any dispute arising out of or in connection with these Terms or the Services shall be resolved via an alternative dispute resolution, starting with mediation and including if necessary a final and binding arbitration. The arbitration shall take place in Georgia and the arbitrator's award shall be final and binding.

Termination

We reserve the right to suspend or terminate your access to the Services at any time and for any reason, including if you violate these Terms. Upon termination, all licenses and other rights granted to you in these Terms will immediately cease.

Miscellaneous

These Terms constitute the entire agreement between you and Viktar Pylinski and Vitali Pylinski with respect to the Services and supersede all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and us. If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Changes to these Terms

We may update these Terms from time to time to reflect changes in our practices or applicable laws. If we make any material changes, we will notify you by posting a notice on our Website. Your continued use of the Services after the effective date of any changes to these Terms constitutes your acceptance of those changes.
